By entering into this Agreement, you undertake to comply with this Agreement and you shall be responsible for compliance with this Agreement of your guests or invitees. In addition, by agreeing to this Agreement, you are confirming that you are using the Services exclusively for business purposes and not as a consumer (as such term may be defined by the applicable laws and regulations in the jurisdiction the laws of which govern this Agreement).

Creating Your Membership

  1. Eligibility. Unless otherwise specified by us in writing, the Services are only available to individuals who are at least 21 years old (as applicable, the “Eligibility Age”).
  2. Passwords and keycards.  Your account created on the WeWork Member Network (“Account”) is specific to you. You shall not reveal your Account password or transfer your keycard or other access device or credentials to anyone else or let anyone use your Account, even if such other individual is associated with your Company. Neither you, nor any third party on your behalf, shall make any copies of any keys, keycards, or other means of entry to the Premises (each, an “Membership Device”). If you believe someone may have used passwords or Membership Device associated with your Membership without your authorization, please immediately change such passwords and contact us at globalsupport@wework.com. You are responsible for all actions in connection with the Accounts, regardless of whether you authorized such actions. Membership Devices remain our property and must be returned immediately upon termination or expiration of your Membership. You may be charged a replacement fee for any lost or damaged Membership Device.

Paying for Your Membership

  1. Payments.  If you purchase other WeWork Services, the payment method provided by you will automatically be charged the fees and any other amounts you may incur or be liable for in connection with the Services. Applicable recurring fees, which may include membership fees (“Membership Fees”) and any other recurring fees you have agreed to in connection with the Services, will be charged on the first (1st) of each month unless we notify you otherwise. Overage fees and other non-recurring fees (including for damages caused to any of our Premises or property) will be charged within thirty (30) days of you accruing such fees. If payment of any accrued and outstanding fee is not made by the tenth (10th) of the month in which such payment is due, you will be responsible for paying the then-current late charge. The current late fee schedule is available on our website at www.wework.com/faq. Your use of the Services may be immediately suspended or terminated if we are unable to charge your payment instrument for any reason. When we receive funds from you, we will first apply the funds to any balances which are in arrears and to the earliest month due first. If we have charged you VAT, GST or other similar tax (“Consumption Tax”) and if, according to law, the Services provided by us to you pursuant to this Agreement are at any time found to be exempt from such Consumption Tax, then we will credit the Consumption Tax charged to you and collected by us. In addition, in such event, the fees charged to you will be retroactively increased by an amount equal to the Consumption Tax amount that is to be credited to you. Such credits and accompanying fee increase will offset each other, and the total amount paid to us by you will remain the same.
  2. No refunds. All fees are non-refundable and must be paid in the currency specified on the Membership Details Form.

Use of the Services

  1. House Rules. Each Premises may have its own house rules governing the expected behavior in such Premises, which you can find at such Premises (the “House Rules”) and which you and your guests and invitees must comply with while using Services in such Premises. In addition, neither you nor any guest or invitee will perform any activity that is reasonably likely to be disruptive, damaging or dangerous to us, our employees or agents, other members, any guests or any other third parties or any pets or property of any of the foregoing. The violation of this provision may result in our termination of your Membership.
  2. Security.  All Members must badge into WeWork buildings using their WeWork Security Device. Tailgating is prohibited. If anyone follows you into a WeWork space without badging in, please immediately notify a staff member at the Premises. Before entering any of our buildings and in order to be issued an activated key card to access the Premises, you may be required to present a valid, government-issued photo identification. If permitted in such jurisdiction, we may ask for the ID card to be verified by taking a photo of it. Finally, if you see something that may impact the security of our community, this should be immediately reported to a staff member at the Premises.
  3. Privacy. We collect, process, transfer and secure personal data about you pursuant to the terms of the WeWork Privacy Policy (found at: www.wework.com/legal/privacy) and the provisions thereof applicable to the jurisdiction in which you access the Services, and in accordance with all applicable data protection laws. Any information collected by us will be provided by you at your own will and with your explicit consent granted herein by execution of this Agreement.
  4. Property. We are not responsible for any property you, your guests or invitees leave behind in any of our Premises. It is your responsibility to ensure that personal items are secure. Other than when using a reserved workspace, you must remove all property from all WeWork Premises and we will be entitled to dispose of any property remaining in any of our Premises and you waive any claims or demands regarding such property or our handling of such property. You will be responsible for paying any fees reasonably incurred by us related to the removal of such property. Additionally, activity that jeopardizes the property of WeWork or other Members is strictly prohibited.
  5. Other members. We do not control and are not responsible for the actions of other individuals you encounter through the use of the Services; this includes other WeWork members and their guests at any Premises or on our Member Network. We do not endorse, support or verify the facts, opinions or recommendations of our WeWork Members. If a dispute arises between users, we have no responsibility or obligation to participate, mediate or indemnify any party, except to the extent that such dispute is the result of WeWork’s gross negligence or willful misconduct.
  6. Third party products or services. The Services may give you access to products, services or advertisements provided by third party service providers or our other business partners (“Third Party Services”). Third Party Services are provided solely by the applicable third-party service provider (“Third Party Service Provider”) and pursuant to separate arrangements between you and the applicable Third-Party Service Provider. THERE IS NO WARRANTY OF MERCHANTABILITY, NO WARRANTY OF FITNESS FOR A PARTICULAR USE, AND NO WAARRANTY OF ANY KIND, EXPRESS OR IMPLIED REGARDING THIRD PARTY SERVICES AND WE ARE NOT RESPONSIBLE IN ANY WAY FOR THE CONTENT OF ANY LINKS, PRODUCTS, SERVICES OR OTHER MATERIALS RELATING TO ANY THIRD-PARTY SERVICES.
  7. You agree to cooperate with us. From time to time, we may investigate any actual, alleged or potential violations of this Agreement. You agree to cooperate fully in any of these inquiries.
  8. Pets. You may only bring pets into Premises where we expressly allow pets, and we may require you to produce proof of vaccination for such pet in a form satisfactory to us. You must accompany your pet at all times. You will be responsible for any injury or damage caused by any pet you bring into any Premises in accordance with this Agreement and we are not responsible for any injury to any pets. We reserve the right to restrict any member’s or other individual’s right to bring a pet into the Premises at any time in our sole discretion.

Termination

  1. Membership termination.  Your Membership shall terminate at the conclusion of the Term. You may terminate your Membership any time prior to such date by providing us with at least one (1) full calendar months’ notice prior to the month in which you intend to terminate your Membership (“Termination Effective Month”) and the termination will be effective on the last Regular Business Day of the Termination Effective Month. If you fail to comply with the provisions of this Agreement we may, in our sole discretion, restrict your access to the Services and/or terminate your Membership with immediate effect and without prior notice to you. We do not provide refunds upon termination or cancellation of your Membership. You will remain liable for past due amounts, and we may exercise our rights to collect due payment, despite termination or expiration of your Membership. We may also terminate your Membership and associated Accounts if we discontinue the program by providing you with thirty (30) days’ prior notice. The Platinum Global Access membership may be canceled fi your American Express Card Account is canceled for any reason.

Intellectual Property

  1. WeWork Intellectual Property. Use of the WeWork Name; Photos of the Premises. You may not take, copy or use for any purpose the name “WeWork” or any of our other business names, trademarks, service marks, logos, trade dress, marketing material, other identifiers or other intellectual property or modified or altered versions of the same, or take, copy or use for any purpose any pictures or illustrations of any portion of the Premises, or engage in any conduct that is likely to cause confusion between the products and services of WeWork and yourself or your Company, without our prior consent, provided that during the term of this Agreement you will be able to use “WeWork” in plain text to accurately identify an address or office location.  You may not use any content, data or other information you receive or access in connection with the Member Network to solicit any of WeWork’s customers, WeWork’s partners, or other individuals or entities you encounter in connection with your use of the Member Network in a manner that could be competitive with or harmful to WeWork, as determined by WeWork in its sole discretion.
  2. Intellectual Property of others. You must not directly or indirectly take, copy or use any information or intellectual property belonging to other members or member companies or any of their guests, including without limitation personal names, likenesses, voices, business names, trademarks, service marks, logos, trade dress, other identifiers or other intellectual property, or modified or altered versions of the same.

Disclaimer of warranties; Limitations of liability

  1. Waiver and release of claims. To the extent permitted by law, WeWork and our landlord at a Premises and our affiliates, parents, and successors and each of our and their employees, assignees, officers, agents and directors (collectively, the “WeWork Parties”) disclaim all warranties and terms, express or implied, with respect to the Services, including warranties, terms or representations as to the availability, operation, performance and/or use of the Services, data security or any other services, content or materials on or accessed via the Services, including any warranties or terms of merchantability, fitness for a particular purpose, title, non-infringement and any implied warranties, terms or indemnification arising from course of dealing, course of performance or usage in trade. To the extent permitted by law, you, on your own behalf and on behalf of your agents, guests and invitees, (i) waive any and all claims, liabilities, costs, damages, expenses and rights, including reasonable attorneys’ fees (“Claims”) against the WeWork Parties resulting from injury or damage to, or destruction, theft, or loss of, any property, person or pet; and (ii) release the WeWork Parties from any such Claims. You on your own behalf and on behalf of your or your guest and invitees shall and hereby do waive your rights under the law of jurisdiction (e.g. California Civil Code Section 1542 or any other similar law), which provides in substance: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor.” For the avoidance of doubt, nothing in these Terms will release a claim or exclude our liability to the extent arising from our (a) gross negligence or willful misconduct; or (b) fraud or fraudulent misrepresentation.
  2. Limitation of Liability. To the extent permitted by law, the aggregate monetary liability of any of the WeWork Parties to you and your guests and invitees, and your or their employees, agents, guests and invitees for any reason and for all causes of action, whether in contract, tort, breach of statutory duty, or other legal or equitable theory will not exceed the total amounts paid by you to us under these Terms for the product or service from which the claim arose in the twelve (12) months prior to the claim arising. None of the WeWork Parties will be liable under any cause of action, for any indirect, special, incidental, consequential, reliance or punitive damages, including loss of profits or business interruption, or for the cost of any substitute goods, services or technology. You acknowledge and agree, on your behalf that, to the extent permitted by law, you may not commence any action or proceeding against any of the WeWork Parties, whether in contract, tort, breach of statutory duty, or other legal or equitable theory, unless the action, suit, or proceeding is commenced within one (1) year of the cause of action’s accrual.
  3. Indemnification. To the extent permitted by law, you will indemnify the WeWork Parties from and against any and all claims, including third party claims, liabilities, and expenses including reasonable attorneys’ fees, resulting from any breach or alleged breach of this Agreement by you or your or guests, invitees or pets or any of your or their actions or omissions, except to the extent a claim results from the gross negligence, willful misconduct or fraud of the WeWork Parties. You are responsible for the actions of and all damages caused by all persons and pets that you or your guests invite to enter any of the Premises. You shall not make any settlement that requires a materially adverse act or admission by us or imposes any obligation upon any of the WeWork Parties unless you have first obtained our or the relevant WeWork Party’s written consent. None of the WeWork Parties shall be liable for any obligations arising out of a settlement made without its prior written consent.
  4. Exclusions. Some jurisdictions may not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages. In such event, such exclusions and limitations shall apply to you and your Members to the maximum extent allowed under applicable law.

Governing Law and Jurisdiction Specific Terms

  1. Jurisdictional Terms. Unless otherwise set forth herein, this Agreement and the transactions contemplated hereby, shall be governed and construed in accordance with the following:

    2. Venue; Dispute Resolution. The place of arbitration shall be New York, New York, U.S.A.
    3. Proceedings; Judgment. The proceedings shall be confidential and in English. The award rendered shall be final and binding on both parties. Judgment on the award may be entered in any court of competent jurisdiction. This Agreement shall be interpreted and construed in the English language, which is the language of the official text of this Agreement.
    4. Class Action Waiver. Any proceeding to resolve or litigate any dispute in any forum will be conducted solely on an individual basis. Neither you nor we will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity. No proceeding will be combined with another without the prior written consent of all parties to all affected proceedings. You and we also agree not to participate in claims brought in a private attorney general or representative capacity, or any consolidated claims involving another person's account, if we are a party to the proceeding. If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect. In order for any waiver of compliance with this Agreements to be binding, we must provide you with written notice of such waiver. The failure of either party to enforce its rights under this Agreement at any time for any period will not be construed as a waiver of such rights, and the exercise of one right or remedy will not be deemed a waiver of any other right or remedy.

To help speed up the process, we ask all members to register their guests in advance. Please make sure to register them individually via the WeWork app or members.wework.com prior to arrival. With proper documentation (photo ID) beforehand, the front desk can send your guest up to meet you.
