These Terms of Use (“Terms of Use”) constitute a legally binding agreement between you and WeWork Companies LLC and its affiliates and subsidiaries (collectively, “WeWork,” “we,” “us” or “our”) and govern your access to and use of the WeWork account management technology platform and any related software, application, content or services (collectively, “Account Central”) provided to you by WeWork in connection with a Membership Agreement. All capitalized terms not defined in these Terms of Use shall have the meanings set forth in the applicable Membership Agreement.
BY ACCESSING OR USING ACCOUNT CENTRAL, YOU AGREE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS OF USE, AS MAY BE AMENDED FROM TIME TO TIME. IF YOU DO NOT OR CANNOT AGREE TO BE BOUND BY THESE TERMS OF USE, YOU MAY NOT ACCESS OR USE ACCOUNT CENTRAL. IF YOU ARE ACCESSING OR USING ACCOUNT CENTRAL TO MANAGE A WEWORK ACCOUNT ON BEHALF OF ANOTHER PERSON OR AN ORGANIZATION SUCH AS YOUR EMPLOYER, YOU ARE AGREEING TO THESE TERMS OF USE FOR THAT PERSON OR ORGANIZATION AND REPRESENTING TO WEWORK THAT YOU HAVE AUTHORITY TO BIND THAT PERSON OR ORGANIZATION TO THESE TERMS OF USE.
1.1 Subject to your continued compliance with these Terms of Use, you may access Account Central as a Primary Member or Admin to self-serve and manage Member Company’s WeWork account(s). You represent that you are the intended Primary Member or Admin authorized by Member Company to manage its WeWork account(s) and to act on its behalf. You acknowledge: (A) that services are being provided to Member Company by WeWork pursuant to a Membership Agreement, and (B) your access to Account Central is contingent upon there being an active Membership Agreement in effect between Member Company and WeWork.
You may not access or use Account Central for any purpose if the representation and statements in the preceding two sentences are not true.
1.2 Account Central may be accessed by our web-based application available at accounts.wework.com or through any successor web-based or mobile application.
1.3 For clarity, these Terms of Use apply only to your access to and use of Account Central as a Primary Member or Admin. All other terms and conditions governing your use of the Services (i.e., use of your WeWork membership), including your rights and obligations, shall be as described in the Membership Agreement.
2.1 In order to access and use Account Central, you must login using your active WeWork Account. You may not authorize any other person to use your Account to access Account Central, even if such person is associated with your Member Company.
2.2 As a Primary Member, you have access to all administrative functions and responsibilities in Account Central. You may appoint additional Admins to perform administrative roles at your discretion.
2.3 Account Central enables you to: (A) view each membership Member Company has accepted and agreed to utilize through a Membership Agreement (including associated plan details and access to applicable agreements), (B) update Member Lists (i.e., add and remove Members), (C) assign membership types, roles, keycard and access level details to Members, (D) view certain data regarding membership activity and usage of Member Company’s account by associated Members, including without limitation, access and security data (such as date and time of arrival or scan at access point associated with a Member’s keycard and/or mobile key), reservation and booking data, printer usage data, credit usage data, statistical data and other information relating to membership activity and use of workspaces and membership products and services by associated Members (“Membership Activity and Usage Data”), which such Membership Activity and Usage Data may include certain personal data (“Personal Usage Data”) and prepare and review activity reports using the Membership Activity and Usage Data, (E) upgrade credit allowances, (F) manage and update Member Company’s payment details, (G) review and manage payment statements, and (H) other administrative functions. WeWork reserves the right, at its sole discretion, to change, modify, add, remove and update features and functionality of Account Central at any time.
2.4 You may not: (A) sell, license, sublicense, distribute, rent, lease, copy, share, modify, replicate, circumvent or otherwise make any unauthorized or illegal use of Account Central, or any individual aspects or components thereof; (B) reverse engineer, decompile, disassemble, extract or otherwise attempt to discover the source code, object code or underlying technology, methodology, ideas, algorithms, or know-how of Account Central or access, use or exploit Account Central or any portion thereof in order to build or develop a competitive or similar product or service; (C) remove, minimize, block or modify any notices of WeWork or its licensors; (D) attempt to gain unauthorized access to Account Central or any Account or portion thereof or any related networks, systems, servers or equipment; (E) use Account Central to transmit any code, file, script, agent or program intended to do harm or damage, including, for example, viruses, worms, time bombs and Trojan horses; (F) take, copy, remove, delete, alter, obscure, or use for any purpose any WeWork intellectual property, including but not limited to the name “WeWork,” the “We” logo or any of our other business names, trademarks, service marks, logos, graphics, trade dress, other identifiers or other intellectual property or any modified or similar versions of the same without our prior consent, or (G) use Account Central in violation of any third-party terms and conditions, any applicable laws or regulations or for any otherwise illegal or unlawful purposes.
2.5 While we strive to provide a positive experience, we cannot and do not guarantee that Account Central or any WeWork Content (as defined below) will always be fully-functional, current or accurate.
3.1 You are solely responsible for the accuracy, quality and legality of all information and content that you submit or upload to, or make available to us in connection with, Account Central (“Member Company Data”). Where you submit personal data, you shall be solely responsible for ensuring: (A) the legality of the processing of personal data, including the means by which the personal data was collected, (B) that you or your Member Company have, and shall continue to have, the right to disclose the personal data to WeWork, and (C) that such disclosure of personal data to WeWork is carried out in accordance with applicable law and with an adequate legal basis, including any applicable notices supplied to (and consents, if any, obtained from) the relevant data subjects.
3.2 You acknowledge and agree that any Membership Activity and Usage Data obtained in connection with these Terms of Use is made available to you only for the following purposes: (A) to perform administrative purpose related to use of Member Company’s WeWork account (including to manage access controls and for activity review purposes) or in connection with the use of the Services; (B) to manage Member Company’s relationship with WeWork; (C) to fulfill legal, regulatory and compliance requirements applicable to Member Company, and (D) to perform any additional purposes permitted by applicable law.
3.3 WeWork makes no representation as to the completeness, reliability or usefulness of the Membership Activity and Usage Data and disclaims responsibility for any deficiencies, inaccuracies, errors, and/or omissions contained in the Membership Activity and Usage Data, which is provided for informational purpose only and for Member Company’s convenience and at Member Company’s sole risk. WeWork shall not be liable and assumes no responsibility for Member Company’s or any third party’s use of the Membership Activity and Usage Data.
3.4 You shall only share and provide access to Membership Activity and Usage Data to Member Company personnel who have a legitimate business need to access and use such Membership Activity and Usage Data. Member Company is responsible for processing any Personal Usage Data in compliance with these Terms of Use and applicable data protection law (which may include establishing a legal basis).
4.1 All information, text, user interfaces, visual interfaces, graphics, photos, audios, videos, trademarks, logos, music, artwork, interactive features and computer code, including but not limited to the design, structure, selection, coordination, expression, "look and feel" and arrangement of Account Central, the “WeWork” and “We” names and logos (collectively “WeWork Content”) is owned, controlled or licensed by WeWork, and is protected by copyright, patent, trade secret and trademark laws and other various intellectual property rights of the United States and other countries.
4.2 Except as expressly set forth in these Terms of Use, all right, title and interest in and to the Account Central and WeWork Content, including all intellectual property and other proprietary rights, are and will remain our and our licensors’ exclusive property. No rights are granted to you hereunder other than as expressly set forth herein.
4.3 Subject to your compliance with these Terms of Use, WeWork grants you a limited, non-exclusive, non-sublicensable, non-transferable, revocable right to access and use Account Central only for the purpose of managing your WeWork membership account(s). You acknowledge that you do not acquire any ownership rights in or to any of our intellectual property by virtue of such access or use or otherwise.
4.4 You grant to WeWork a worldwide, perpetual, irrevocable, royalty-free license to use, distribute, disclose, and make and incorporate into its services any suggestion, enhancement request, recommendation, correction or other feedback provided by you or Member Company relating to the operation of Account Central or WeWork’s services.
5.1 Third-party products, services and content (including advertising) may be made available or accessed in connection with your use of Account Central that WeWork does not control (“Third Party Services”). Once you access any such Third-Party Services (including by clicking on a link), you will be subject to the terms and conditions (including privacy policies) applicable to those Third Party Services. WeWork will not warn you that you have left Account Central or that you are subject to the terms and conditions of any such Third Party Services. You use all Third-Party Services (including links to and in third-party websites and advertisements) at your own risk as these are not part of Account Central and are not controlled by WeWork. You acknowledge that different terms of use and privacy policies may apply to your use of such Third-Party Services. WeWork does not endorse any Third-Party Services and in no event shall WeWork be responsible or liable for any products or services of third-party providers.
5.2 Without limiting the generality of the foregoing, you may be able to purchase Add-Ons through Account Central. You acknowledge and agree that the provision of each Add-On shall be: (A) subject to any applicable additional fees for such Add-On, and (B) governed by the then-applicable terms and conditions for Add-Ons available at https://www.wework.com/legal/add-ons-terms-and-conditions, as may be updated by WeWork from time to time.
WeWork reserves the right, at its sole discretion, to change, modify or discontinue, temporarily or permanently, Account Central (or any part thereof) with or without notice. You agree that WeWork will not be liable to you or Member Company for any modification, suspension or discontinuance of Account Central.

You are responsible for obtaining the data network access necessary to use Account Central. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use Account Central and any updates thereto. WeWork does not guarantee that Account Central, or any portion thereof, will function on any particular hardware or devices. In addition, Account Central may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.
If you fail, or if we suspect that you have failed, to comply with any of the provisions of these Terms of Use, we may, at our sole discretion, suspend your access to Account Central and/or terminate your access and use of Account Central with immediate effect and possibly without prior notice to you.
10.1 WEWORK AND ITS PARENTS, AFFILIATES, RELATED COMPANIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES AND LICENSORS (COLLECTIVELY, THE “WEWORK PARTIES”) MAKE NO REPRESENTATION OR WARRANTY ABOUT ACCOUNT CENTRAL, INCLUDING ANY REPRESENTATION THAT ACCOUNT CENTRAL WILL BE UNINTERRUPTED OR ERROR-FREE, AND PROVIDE ACCOUNT CENTRAL (INCLUDING THE WEWORK CONTENT AND INFORMATION) ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, THE WEWORK PARTIES DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF TITLE, ACCURACY OF DATA, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
10.2 TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT WILL THE WEWORK PARTIES BE LIABLE IN CONNECTION WITH THESE TERMS OF USE FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOST PROFITS OR LOST BUSINESS OPPORTUNITIES, REPUTATION, LOSS OF DATA (E.G., DOWN TIME OR LOSS, USE OF, OR CHANGES TO, MEMBERSHIP ACTIVITY AND USAGE DATA), HOWEVER CAUSED. FURTHERMORE, TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, YOU, ON YOUR OWN BEHALF AND ON BEHALF OF MEMBER COMPANY, (A) WAIVE ANY AND ALL CLAIMS, LIABILITIES, COSTS, DAMAGES, EXPENSES AND RIGHTS, INCLUDING REASONABLE ATTORNEYS’ FEES (“CLAIMS”) AGAINST THE WEWORK PARTIES RESULTING FROM YOUR USE OF ACCOUNT CENTRAL, AND (B) RELEASE THE WEWORK PARTIES FROM ANY SUCH CLAIMS. YOU SHALL AND HEREBY DO WAIVE YOUR RIGHTS UNDER THE LAW OF ANY JURISDICTION, WHICH PROVIDES IN SUBSTANCE: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”
10.3 IF, NOTWITHSTANDING THE OTHER PROVISIONS OF THESE TERMS OF USE, THE WEWORK PARTIES ARE FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH YOUR USE OF ACCOUNT CENTRAL, OUR MAXIMUM AGGREGATE LIABILITY TO YOU IS ONE HUNDRED DOLLARS ($100.00 USD). THE FOREGOING DISCLAIMERS WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW AND DO NOT LIMIT EITHER PARTY’S RIGHT TO SEEK AND OBTAIN EQUITABLE RELIEF.
10.4 The limitations of liability in this Section 10 are part of the basis of the bargain between you and WeWork and shall apply to all claims and theories of liability (e.g., warranty, tort, negligence, contract and law) even if the WeWork Parties have been advised of the possibility of any such damage, and even if these remedies fail their essential purpose.
10.5 These limitations of liability do not apply to the extent such Claims arise from the gross negligence, intentional misconduct or fraud of the WeWork Parties or to liability for death or personal injury.
Account Central is a workplace tool intended for use by businesses and organizations and not for consumer purposes. To the maximum extent permitted by law, you hereby acknowledge and agree that consumer laws do not apply. If however any consumer laws do apply and cannot otherwise be lawfully excluded, nothing in these Terms of Use will restrict, exclude or modify any statutory warranties, guarantees, rights or remedies you have, and our liability is limited, at our option, to the replacement, repair or resupply of Account Central (or its equivalent functionality) or one hundred dollars ($100.00 USD).
WeWork reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. The changes will not be retroactive; however, the most current version of these Terms of Use, which will be posted at https://www.wework.com/legal/account-central-terms-of-use, or linked within Account Central, will govern. It is your responsibility to check these Terms of Use periodically for changes. If we make material changes to these Terms of Use, where required by law, we will provide you with reasonable notice prior to the change taking effect, for example by providing notice through Account Central, emailing the email address associated with your Account or by other means. Your continued use of Account Central after any such changes take effect constitutes your acceptance and agreement to such changes, which will apply to your continued use of Account Central going forward.
These Terms of Use, including any terms incorporated by reference into these Terms of Use, constitute the entire agreement between you and WeWork and supersede all prior and contemporaneous agreements, proposals or representations, written or oral, concerning its subject matter. To the extent of any conflict or inconsistency between these Terms of Use and a Membership Agreement regarding use of Account Central, these Terms of Use will control unless WeWork has entered into a separate agreement or separate terms in a Membership Agreement that specifically overrides these Terms of Use, and in such case, the separate agreement or terms will control to the extent of any conflict or inconsistency.
You may not assign or transfer these Terms of Use; however, you agree that WeWork may assign these Terms of Use, without your consent, to: (A) a subsidiary or affiliate, (B) an acquirer of WeWork's equity, business or assets, or (C) a successor by merger. Any purported assignment by you shall be null and void.
If any provision of these Terms of Use is held to be invalid, illegal or unenforceable, such provision shall be limited or struck to the minimum extent necessary so that these Terms of Use shall otherwise remain in full force and effect and enforceable. Our failure or delay to enforce any right or provision of these Terms of Use shall not constitute a waiver of our right to later enforce such right or provision or any other part of these Terms of Use unless acknowledged and agreed to by us in writing.
No joint venture, partnership, employment or agency relationship exists between you and WeWork as a result of these Terms of Use or your access to or use of the Member Platform.
