WeWork Companies Inc. (“WeWork”), owns and operates the WeWork Labs Contributor Network digital platform (the “Network”). The Network provides original content to WeWork Labs members. These Terms and Conditions (the “Terms”) describe the rights and obligations of individuals (“Contributor”) interested in participating in the Network. By providing content to the Network in any form, you agree to be bound by these Terms and WeWork’s Privacy Policy, which is available here. These Terms apply only to your participation as a Contributor to the Network. If you use or access WeWork’s physical space or other services WeWork provides, your use of such space or services is subject to the terms and conditions you received or accepted when you signed up for such space or services. From time to time, WeWork may make modifications, deletions or additions to these Terms. Your continued participation in the Network following the posting of any changes to the Terms constitutes acceptance of those changes.
By uploading text, images, videos, audio clips and other content generated, provided or otherwise contributed to the Network (collectively, “Content”) you represent and warrant that the Content was created by you for original use on the Network and has not been displayed, presented, exhibited, transmitted, posted, uploaded, shared or used in any other way in any medium owned, controlled or hosted by an entity other than WeWork. WeWork’s use of the Content and the rights and license granted hereunder do not, and will not, violate any right of, or conflict with or violate any contract with or commitment made to, any person or entity, and that no consent or authorization from any third party is required in connection herewith. You agree to defend, indemnify and hold harmless WeWork from and against all claims by third parties resulting from a breach of any of the foregoing representations and warranties.
By providing Content to the Network you permit, authorize and license WeWork, WeWork Labs and their affiliates, successors and assigns, and their respective licensees, advertising agencies, promotion agencies and fulfillment agencies, and the employees, officers, directors and agents of each and all of them (“Authorized Persons”), to display, exhibit, transmit, broadcast, reproduce, record, photograph, digitize, edit, create derivative works, exploit, license, otherwise use and permit others to use (1) the Content and (2) your name, image, likeness, appearance, voice, professional biographical information, and other characteristics on a perpetual, worldwide basis, and in any medium or format whatsoever now existing or hereafter created, including, but not limited to, in and on the internet, and for any purpose, including, but not limited to, advertising, public relations, publicity, and promotion of WeWork, WeWork Labs and their businesses, products and services, without further consent from or royalty, payment or other compensation to me.
You further acknowledge that WeWork is under no obligation to use Content contributed to the Network and that WeWork may remove Content used on the Network at any time and for any reason. Content provided to and used on the Network may be subsequently posted or shared by you in other mediums, provided that you acknowledge the Content’s original use on the Network through the inclusion of the credit line outlined in the WeWork Labs Contributor Network Guide. WeWork’s hosting of Content does not constitute endorsement, recommendation, or support for such Content or any individuals associated with such Content by WeWork. WeWork makes no claims, promises, or guarantees about the accuracy, completeness, or adequacy of any content, claims or statements in any submitted Content.
WeWork may collect, store and use certain data, including, but not limited to, data related to your usage of the Network in accordance with our Privacy Policy.
WeWork further reserves the right to modify, suspend, or discontinue the Network (or any part or service thereof) at any time with or without notice to you, and WeWork will not be liable to you or to any third party should it exercise such rights.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, excluding its conflicts of law rules, and the United States of America. These Terms constitute the entire agreement between you and WeWork regarding the Network and supersedes and merges any prior proposals, understandings and contemporaneous communications. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable. In order for any waiver of compliance with these Terms to be binding, we must provide you with written notice of such waiver. The failure of either party to enforce its rights under these Website Terms at any time for any period will not be construed as a waiver of such rights.
